License Terms

By purchasing, downloading, or using any product, you agree to the below terms.

Definitions

In these Terms, the following terms shall have the following meanings:

  • “Product” means digital motion templates, files, assets, bundles, or any digital good sold by Velvele Studio (“Velvele”, “we”, “us”, “our”) through this store.
  • “Template” means the delivered project file (e.g., .aep) and any included assets, source files, and documentation.
  • “License” means the rights granted to the purchaser under these Terms and the applicable License Tier.
  • “Licensed User(s)” means the individual(s) explicitly authorized under the purchased License to access or edit the Templates.
  • “Company Size” means the number of employees, contractors, or collaborators that form a legal business entity.
  • “Final Exports” means non-editable rendered videos produced using the Templates.
  • “Editable Source Files” means the original project files and components provided with the Product (e.g., .aep, .psd, .ai).
  • “Client Work” means deliverables created by you for a third-party client using the Product.

License Scope and Grant

  • Velvele grants the purchaser a non-exclusive, non-transferable, revocable license to use the Product in accordance with the purchased license tier.
  • Ownership of the Product and all intellectual property rights remain exclusively with Velvele. The License grants use rights only, not ownership.
  • The purchaser may make copies of the Templates only to the extent necessary for use in accordance with the License

License Limitations

  • Seats / Users: Only the number of Licensed Users specified in the purchased License may access, use, modify, or view the Templates. Any sharing of Templates with individuals beyond the permitted seats is a breach.
  • Company Size: A License may be purchased only if the purchasing entity’s Company Size is within the limit specified for that License tier. Misrepresentation of Company Size constitutes a breach and forfeiture of License rights.
  • Editable Source Files: Editable Source Files may be accessed and used only by Licensed Users. Clients, subcontractors, or third parties may not receive or access editable Template files.
  • Final Exports: Rendered videos produced using the Templates may be delivered to clients only where permitted under the purchaser’s License tier. This does not grant rights to the underlying Templates.

Permitted Use

The purchaser may use the Templates:

  • Within the scope of the License for Portfolio, Brand Content, Client Work, or Digital Campaigns as permitted.
  • For an unlimited number of projects or deliverables, subject to the terms of the License.

The purchaser may render unlimited Final Exports within the rights granted.

Prohibited Use and Restrictions

The following actions are expressly prohibited under all License tiers:

  • Selling, sublicensing, distributing, or redistributing the Templates.
  • Including the Templates in any asset libraries, design systems, motion kits, product packs, or reusable collections offered to third parties.
  • Sharing Templates with individuals who are not Licensed Users.
  • Allowing Editable Source Files to be accessed by clients or third parties.
  • Making Templates available for download via file sharing, network drives, or otherwise accessible by unlicensed individuals.
  • Reverse engineering, decompiling, or attempting to extract source components of the Templates beyond permitted editing for use.

Use of the Templates in trademark creation, template resale products, or products designed for resale directly or indirectly is prohibited unless explicitly licensed under a separate Enterprise License.

Internal Libraries and Reusable Systems

  • Templates may not be used to build internal asset libraries, reusable motion systems, or starter kits that are accessible across multiple projects or users beyond those licensed.
  • Templates must be used on a per-project basis. The creation of derivative libraries intended for repeated reuse outside of the immediate project context is prohibited.

Enterprise and Extended Licenses

  • Broadcast, television, cinema, extended distribution, or high exposure use may require an Enterprise License with terms agreed in writing.
  • Any permitted broadcast or extended use not explicitly covered under standard licenses must be documented via written agreement.

Enforcement, Termination, and Remedies

  • Velvele reserves the right to audit and verify compliance upon reasonable notice.
  • Any breach of these Terms immediately terminates the License without refund.
  • Velvele may pursue all legal and equitable remedies available under applicable law.

No Warranty and Limitation of Liability

  • Templates are provided “as is,” without warranty of any kind, either expressed or implied.
  • In no event shall Velvele be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Templates.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Velvele is incorporated, without regard to conflict of law principle

Entire Agreement

These Terms, together with the License documentation and the Terms of Sale, constitute the entire agreement between the purchaser and Velvele with respect to the Templates.
